DIP Holding IPO: Dubai Investments to List 20% Stake on DFM

DIP Holding IPO: Dubai Investments to List 20% Stake on DFM

Dubai Investments has announced plans to list its subsidiary, DIP Holding, on the Dubai Financial Market (DFM) through an initial public offering (IPO). The planned offering is expected to be the UAE’s first IPO of 2026.

Dubai Investments will offer 1,735,243,300 existing ordinary shares, representing 20 per cent of DIP Holding’s issued share capital. The proceeds from the sale will go to Dubai Investments and are expected to be used mainly for business expansion and general corporate purposes.

DIP Holding IPO Dates

The subscription period is expected to open on October 27, 2026, and close on November 3, 2026. Trading on the Dubai Financial Market is anticipated to begin on or around November 11, subject to regulatory approvals and market conditions.

A dedicated Fourth Tranche, representing a further 2 per cent of the offering, has been reserved for eligible individual shareholders of Dubai Investments. Eligibility will be determined using a record date of October 28. Shares must have been acquired no later than October 26 to qualify, subject to the final offer terms.

DIP Holding Dividend Plans

DIP Holding expects to pay annualised dividends of Dh700 million for 2026, Dh725 million for 2027 and Dh750 million for 2028.

The company intends to introduce a semi-annual cash dividend policy, subject to the required approvals.

The first post-IPO dividend distribution is expected to total Dh350 million and be payable in April 2027 for the second half of 2026. According to the announcement, IPO investors are expected to receive the dividend for the full half-year, rather than only for the period following the anticipated November listing.

Financial Performance of DIP Holding

DIP Holding reported revenue of Dh960 million and adjusted earnings before interest, taxes, depreciation and amortisation (EBITDA) of Dh678 million in 2025.

During the first half of 2026, revenue reached Dh492 million, while adjusted EBITDA stood at Dh355 million. The adjusted EBITDA margin was 72 per cent, and cash conversion reached 97 per cent.

The company expects future growth to be supported by contractual ground-rent repricing, increased subleasing activity and the repositioning of plots for higher-value uses.

What Does DIP Holding Do?

DIP Holding is the sole shareholder of Dubai Investments Park Development Company, which operates Dubai Investments Park (DIP).

Dubai Investments Park serves approximately 1,000 tenants, supports around 5,700 sub-leases and is home to more than 150,000 residents. Ground lease occupancy stood at approximately 99.9 per cent as of June 30, 2026.

The park is located between Jebel Ali Port and Al Maktoum International Airport, within Dubai’s expanding southern corridor.

Khalid bin Kalban, vice chairman and chief executive officer of Dubai Investments and chairman of DIP Holding, described the IPO as a natural next step in the company’s development. He also highlighted the continued depth and maturity of Dubai’s capital markets.

Where Will the IPO Proceeds Go?

Dubai Investments, as the selling shareholder, will receive the IPO proceeds. The company expects to use the funds primarily to expand its businesses and for general corporate purposes.

The proposed listing will give investors an opportunity to participate in DIP Holding through the Dubai Financial Market, subject to the final offer details and applicable regulatory approvals.

Investors should review the official IPO prospectus for the final subscription terms, eligibility requirements, dividend policy and associated investment risks before making a decision.
